Welcome to Apartey, a community-powered rental intelligence and property insight platform operated by HomeSynq OÜ, an Estonian private limited company (“Apartey”, “we”, “our”, or “us”).

By creating an account, accessing, or using any part of the Apartey platform, website, mobile applications, tools, or related services (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Use (“Terms”), together with our:

• Agency or Partner Terms (where applicable)

If you do not agree, you must not access or use the Services.

2. Nature and Scope of Services

Apartey is an information and community platform, not a real estate marketplace or intermediary. The Services allow users to:

• View, list, or claim rental or property sale listings
• Access housing insights, trends, and analytics
• Engage with landlords, tenants, owners, and agents
• Participate in the Apartey Keys Rewards and referral programs
• Discover passive home swap opportunities

3. Eligibility and Account Responsibilities

You must:

• Be legally capable of entering a binding agreement
• Provide accurate, current, and lawful information
• Maintain the security of your credentials
• You are responsible for all activity under your account

4. Prohibited Conduct and Content

User may not:

• Post false, misleading, defamatory, or manipulative content
• Upload content without lawful rights or consent
• Harass, discriminate, threaten, or exploit others
• Circumvent platform safeguards, reward systems, or moderation
• Use automated scraping, harvesting, or bulk-upload tools
• Misuse referral, reward, or visibility mechanisms

5. User Content Ownership and License

You retain ownership of content you submit. You retain ownership of the content you submit. By submitting content, you grant Apartey a non-exclusive, worldwide, royalty-free, sublicensable license to host, use, reproduce, adapt, display, and distribute such content for platform operation, promotion, and improvement. You warrant that you have all necessary rights to submit the content.

6. External Listings and Authorization

Users must not upload or reuse listings, descriptions, images, or data sourced from third-party platforms without proper authorization or right. Apartey may remove any listing where authorization is unclear, withdrawn, or disputed.

6A. Admin-Assisted Listings and User Authorization

Admin-Assisted Listings

As part of pilot programs, onboarding initiatives, partnerships, or operational support, Apartey may, upon a user’s explicit request or consent, create, upload, edit, or publish property listings on the user’s behalf (“Admin-Assisted Listings”).

User Authorization

By submitting or acknowledging or granting access to listing information to Apartey and providing consent (whether electronically, in writing, or via platform communication), the user expressly authorizes Apartey to publish such information on the platform on the user’s behalf.

Accuracy and Responsibility

All Admin-Assisted Listings are created strictly based on information, materials, descriptions, and representations provided by the user. The user remains solely responsible for:

• The accuracy, completeness, legality, and timeliness of all listing information
• Ensuring they have the legal right and authority to list the property
• Compliance with applicable laws, contracts, leases, and third-party rights

No Verification or Agency

Apartey does not verify, validate, or independently confirm the accuracy, legality, ownership, availability, or suitability of Admin-Assisted Listings. Admin-assisted publication does not create:

• An agency relationship
• A brokerage relationship
• A partnership or representation arrangement

Liability Disclaimer

Apartey shall not be liable for any errors, omissions, outdated information, disputes, losses, or claims arising from Admin-Assisted Listings, including those resulting from user-provided information.

Withdrawal or Modification

Users may request modification or removal of an Admin-Assisted Listing. Apartey will process such requests within a reasonable timeframe but is not responsible for consequences arising before removal.

Authorization Records

Apartey may retain records of user authorization for Admin-Assisted Listings, including but not limited to electronic confirmations, emails, messages, submitted forms, or system logs, for compliance, audit, dispute resolution, and legal purposes. Such records may be used to demonstrate user consent and authorization in the event of disputes, claims, or regulatory inquiries.

7. Content Moderation and Platform Control

Apartey may, at its sole discretion and without obligation to provide justification:

• Approve, reject, edit, restrict, demote, or remove any content
• Suspend, limit, or terminate any account
• Restrict access to specific features or programs

8. Referral Program, Rewards, and Incentives

Apartey may offer referral programs, rewards, points, or incentives (“Programs”).

Program Disclaimers

• Participation is optional and not guaranteed
• Rewards have no cash value unless explicitly stated
• Programs may be modified, suspended, or terminated at any time

Platform Rights

Apartey by HomeSynq OÜ expressly reserves the right to approve, deny, suspend, restrict, or remove any user from participating in any referral, rewards, or incentive program at its sole discretion, including in cases of suspected abuse, manipulation, fraud, or policy violations. Points or rewards may not be sold, transferred, exchanged, or used outside the platform unless expressly permitted.

9. Home Swap Listings Disclaimer

• Apartey only provides passive listing visibility
• We do not facilitate, negotiate, verify, or enforce swaps
• We do not handle payments, deposits, or compensation
• No guarantee is made regarding matches or outcomes
• Users are solely responsible for legal compliance and due diligence

10. Disclaimer of Warranties

• The Services are provided “as is” and “as available”
• No warranties, express or implied, are made by Apartey
• No guarantee of accuracy, completeness, or reliability of content
• No guarantee of availability or uninterrupted access
• No warranty regarding the suitability of any property or listing
• No assurance as to outcomes of user interactions

11. Limitation of Liability

• Reliance on any user-generated content
• Disputes, agreements, losses, or damages between users
• Technical failures, data loss, or unauthorized access
• Service interruptions or platform unavailability
• Direct, indirect, incidental, consequential, or special damages

12. Indemnification

You agree to defend, indemnify, and hold harmless Apartey, its affiliates, directors, officers, employees, contractors, and partners from and against any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal and professional fees) arising out of or related to:

• Your breach of these Terms or applicable policies
• Your misuse of the Services
• Your content, listings, or interactions with other users
• Your violation of any law, regulation, or third-party right

This indemnification expressly includes any claims, disputes, losses, or liabilities arising from or related to Admin-Assisted Listings, including but not limited to claims concerning authorization, accuracy, ownership, legality, misrepresentation, omissions, or withdrawal of consent.

13. Suspension and Termination

Apartey may suspend or terminate your access immediately, with or without notice, for:

• Violations of these Terms or related policies
• Legal or regulatory obligations
• Platform integrity, security, or risk concerns

Suspension or termination may occur with or without notice. All disclaimers, indemnities, and limitations survive termination.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Estonia. All disputes shall be resolved exclusively in the courts of Estonia.

15. Changes to Terms

Apartey may update these Terms at any time. Continued use of the Services constitutes acceptance of the revised Terms.

This Referral Program Policy (“Policy”) governs participation in any referral, rewards, incentive, or promotional program (collectively, the “Referral Program”) offered by Apartey by HomeSynq OÜ (registry code 17214159) (“Apartey,” “we,” “our,” or “us”).

Participation in the Referral Program is voluntary and subject to these terms, the Apartey Terms of Use, and all related policies.

• Supporting platform growth through organic referrals

• Have a valid Apartey account in good standing
• Comply with the Apartey Terms of Use and Community Guidelines
• Use the Referral Program for lawful, personal, and non-commercial purposes only

3. How Referrals Work

Referral mechanics (such as referral links, invite codes, points, or rewards) may vary by campaign and may change over time. Generally:

• A referral is only valid if the referred user is new to Apartey
• Referred users must complete qualifying actions (e.g., sign-up, review submission)
• Rewards are issued only after verification by Apartey’s systems

4. Rewards, Points, and Incentives

Referral rewards may include:

• Platform points (e.g., Apartey Keys)
• Visibility credits
• Discounts or non-cash benefits
• Promotional items or merchandise

Important Clarifications

• Referral rewards do not have cash value, unless explicitly stated
• Rewards cannot be sold, transferred, exchanged, or redeemed outside Apartey
• Points may only be used as specified on the platform
• Rewards may expire or be revoked

5. Prohibited Referral Activity

You may not:

• Create multiple accounts to refer yourself
• Use fake, temporary, or automated accounts
• Misrepresent Apartey or make false claims
• Use paid ads, spam, bulk messaging, or deceptive tactics
• Offer compensation in exchange for referrals
• Attempt to game or manipulate the Referral Program

6. Platform Rights and Discretion

Apartey by HomeSynq OÜ retains the sole and absolute right to approve, deny, suspend, restrict, revoke, or terminate any user’s participation in the Referral Program, including withholding or canceling rewards, without prior notice, if:

• Abuse, fraud, or manipulation is suspected
• Activity violates these policies or applicable law
• Platform integrity or fairness is compromised

7. Program Changes or Termination

Apartey may:

• Modify referral rules, rewards, or eligibility criteria
• Pause or discontinue the Referral Program entirely
• Limit participation by geography, user type, or volume

8. No Guarantee or Liability

Apartey makes no guarantees regarding:

• Reward availability
• Referral success
• Program continuity

9.Tax Responsibility

Users are solely responsible for determining and complying with any tax obligations related to rewards or incentives received through the Referral Program.

10.Relationship to Other Policies

This Policy forms part of the Apartey Terms of Use. In case of conflict, the Terms of Use shall prevail.
